What is an Investability Report?
We act as legal counsel to high-growth companies that regularly raise venture capital.
Companies that hope to raise venture capital need to be structured in a particular way in order to satisfy basic investor expectations.
We will review your corporate records to assess your investor readiness. We look at two things:
(1) Legal Compliance - Has your company complied with basic corporate and securities laws during set up and initial years of growth?
(2) Venture Standards - Is your company structured according to basic venture capital standards?
What will I need to submit?
All your corporate records. We will only review those items provided to us on the first submission.
Corporate records include all of the following (if you have them):
Certificate of Incorporation
Articles of Incorporation / Notice of Articles
By-Laws / Articles
Director Consents
Securities Register and Directors Register
Shareholder and Director Resolutions & Minutes
Forms filed with Corporations Canada & BC Registry
Shareholders' Agreement
IP Agreements
Stock Option Plan
Share Purchase Agreements, SAFEs, Convertible Notes, or any other Investment Agreement
Vesting Agreements
Extra-provincial Registration Statements
Your corporate records include any documents: (a) provided to you by the government and/or by a law firm when you incorporated, (b) made as a result of any corporate changes, or (c) created in connection with any investments in your company. Corporate records may be in the form of a physical binder or as digital documents.
What if my corporation is not Investor Ready?
We will provide you with recommendations for how to become Investor Ready, and would love to help you get that done!
For most of what that might involve, we can provide fixed fees up front so that you know what the cost and process would be to work with our team.
What will you do with my documents after the Investability Report is complete?
We will delete from our system all of your corporate records after our consultation to review the Investability Report.
